Mutual Non-Disclosure Agreement (NDA)
Effective Date: June 01, 2025

This is a simplified version of our full Mutual NDA. A full signed copy is available upon request.

1. PURPOSE

This Mutual NDA is intended to protect the confidentiality of discussions, documents, designs, prototypes, and intellectual property exchanged between ThePKLabs™ Innovation Studio (a division of The EMM Group LLC) and any external party considering a partnership, investment, or collaboration.

2. DEFINITION OF CONFIDENTIAL INFORMATION

"Confidential Information" includes, but is not limited to:

Product ideas, prototypes, CAD drawings, technical specs
Business plans, marketing strategies, and pricing
Invention details, patent filings, and trade secrets
Any non-public verbal, written, or digital communication

3. OBLIGATIONS

Both parties agree to:

Keep all Confidential Information strictly private
Not disclose or use the information for any purpose other than evaluating the relationship
Only share Confidential Information with authorized personnel on a need-to-know basis

4. EXCEPTIONS

This NDA does not apply to information that:

Was already publicly available
Was lawfully obtained without restriction
Is required to be disclosed by law (e.g., court order)

5. NO LICENSE

This NDA does not grant any ownership or license rights over ThePKLabs™ intellectual property, product names, designs, or other proprietary materials.

6. DURATION

This agreement shall remain in effect indefinitely unless both parties agree in writing to terminate it. Any previously disclosed Confidential Information will remain protected beyond termination.
